<P> “四小”之一的广汽集团迈出了跨省兼并重组的第一步。昨日，广汽集团与长丰集团在湖南长沙正式签署战略合作协议，广汽集团出资约10亿元购得长丰汽车29%的股份，成为长丰汽车第一大股东。交易完成后，长丰汽车将成为广汽集团旗下的第三家整车子公司。广汽集团此举意在借助于湖南的整车生产资源、成本优势、市场空间“北上”，以实现跻身中国前三大汽车集团的梦想?/P><BR>
<P> 重组后的广汽、长丰集团，将如何走向协同、高速发展，成为外界关注的焦点。为此，上海证券报记者采访了广汽集团董事长张房有、广汽集团总经理曾庆洪和长丰汽车总经理陈正初?/P><BR>
<P> 上海证券报：广汽集团一向比较谨慎，为什么现在开始大手笔进行跨省收购兼并?/P><BR>
<P> 张房有：截至2008年，广汽集团的产、销收入连续两年双超1000亿元，利税均超过100亿元。无论销量、利润、销售额，广汽集团都已经到达一个理想的高度，必须寻找新的发展方式，比如说走出广州。此外，广汽集团只在广州发展，对城市的环保和其它方面都构成一定压力?/P><BR>
<P> 从大环境看，广汽集团重组长丰汽车，顺应了国家鼓励兼并重组、产业调整和升级的大趋势?/P><BR>
<P> 上海证券报：广汽集团耗资多少购得长丰汽车股份？计价标准是什么？仅收?9%，是否为避开要约收购?/P><BR>
<P> 曾庆洪：我们从长丰集团手中购?9%的股权，出资大概?0.05亿元，比外界猜测的整整少?亿，收购成本减少了近五分之一。计价标准主要是长丰汽车?0个交易日的移动平均价?/P><BR>
<P> 确实，如果收购长丰汽车的股权达到30%，就会触及《证券法》关于要约收购这一条，审批环节会变多，收购的难度也会加大，所以我们仅收购29%?/P><BR>
<P> 上海证券报：广汽集团和长丰集团谈合作时，北汽集团也有意联手长丰集团，为什么长丰集团最终选择了广汽集团？</P><BR>
<P> 曾庆洪：有很多企业和长丰集团谈，也有很多企业和广汽集团谈。这是一个双方的选择。双方合作，有利于广汽集团和长丰集团未来发展需要。广汽集团进入长丰汽车后，长丰汽车自然会有生产轿车的能力。你们会看到长丰汽车生产的轿车上市?/P><BR>
<P> 陈正初：两个拳头更有力量。按照协议，五年内我们会在湖南投资约100亿元，达到约50万辆的产能；销售收入争取突?00亿元，利税总额50亿元?/P><BR>
<P> 曾庆洪：昨天，我们刚收购了菲亚特动力在杭州的变速箱厂三分之一股权，所有协议都签署完成。超?0%股份是全面收购，不能豁免。下次我们会视市场情况进行收购?/P>

<P> 上海证券报：广汽菲亚特合资项目进展如何？张房有董事长说，将上报国家主管部门的轿车合资项目调整至湖南。这是广汽菲亚特项目吗？</P>
